Your board has been hard at work updating and revising the Constitution and Bylaws of the Payne County Audubon Society. To adopt these changes, we need membership to ratify them.

Proposed Changes

Please find below a summary of the substantive revisions made to the Payne County Audubon Society (PCAS) Bylaws, comparing the prior version with the revised document.

1. Membership (Article I)

  • Clarifies geographic jurisdiction as Payne County, Oklahoma.
  • Simplifies voting language by removing specific references to officer and director elections.

2. Removal of Meetings Provisions

  • All provisions governing member meetings, notice requirements, and meeting procedures have been deleted.

3. Board of Directors (Revised Article II)

  • Establishes a defined range of 2 to 5 non-officer Directors (previously “up to five”).
  • Adds explicit term start and end dates (January 1 through December 31 of Year 3).
  • Revises quorum requirements to require both:
  • A simple majority of the Board, and
  • Presence of the President and/or Vice-President.

4. Officers (Revised Article III)

  • Extends terms for Secretary and Treasurer from two years to three years.
  • Introduces a governance shift in officer selection:
  • Vice-President remains elected by the membership.
  • Secretary and Treasurer are now appointed by the President.
  • Standardizes term dates (January 1 through December 31).
  • Simplifies and reduces detail in officer duty descriptions.

5. Nominations (Revised Article IV)

  • Eliminates the Nominating Committee.
  • Assigns responsibility for soliciting nominations directly to the Board.
  • Narrows scope to the Vice-President position.
  • Provides that voting includes both membership and Board participation.

6. Amendments (Revised Article VI)

  • Reduces required notice period for proposed amendments from 60 days to 30 days.
  • Simplifies language regarding Board authority to propose amendments.
